Terms of service
Last updated 11 September 2026
These terms apply to services provided by Digital Care Solution Ltd (RC 8767824). Where a signed engagement contract says something different, the contract governs.
Scope and quotes
Work begins from a written scope produced during discovery. The quote attached to that scope is fixed for the work described in it. Anything outside the scope is quoted separately before it is started, never added silently to an invoice.
Your responsibilities
- Give us timely access to the people, systems and data the work needs
- Nominate someone able to review and approve each stage
- Confirm that data you give us may lawfully be processed by us
- Pay invoices within the agreed terms
Payment
Projects are invoiced in stages against the agreed schedule. Care agreements are invoiced monthly in advance. Invoices are payable within 14 days unless the contract says otherwise. We may pause work on accounts more than 30 days overdue, after written notice.
Intellectual property
On full payment, ownership of the software written specifically for you transfers to you, along with the documentation and credentials. Third-party components keep their own licences, and pre-existing tools and libraries we bring to the project remain ours, with a perpetual licence granted to you for use within the delivered system.
Warranty
We correct defects in delivered work reported within 90 days of launch at no charge. This covers software not behaving as the approved scope describes. It does not cover changes to requirements, faults in third-party services, or problems caused by modifications made by others.
Liability
Our total liability under an engagement is limited to the fees paid for that engagement in the 12 months before the claim. We are not liable for indirect or consequential loss, including lost profit or lost data, except where the law does not allow that limit.
Confidentiality
Each side keeps the other commercial and technical information confidential, during the engagement and after it ends. We will not name you as a client or describe your project publicly without written permission.
Ending an engagement
Either side may end a care agreement with 30 days written notice. On termination we hand over a current copy of the code, documentation and credentials, along with a written note on the running state of the system. Fees for work already delivered remain payable.
Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of the Federal Capital Territory have jurisdiction.
